Terms and Conditions
This document is officially referred to as the Ezy Wealth Builder Terms and Conditions. It includes the Ezy Wealth Builder Policies and Procedures and also includes or makes reference to other Policies enforced by Ezy Wealth Builder. Standards All Members Must Follow A Member of Ezy Wealth Builder agrees to always act honesty and fairly in a way that will enhance the reputation of the Member and Ezy Wealth Builder when representing Ezy Wealth Builder.
A Member agrees to always offer full support as a sponsor of their personally referred Associates and future prospective Associates. This includes avoiding deceptive or illegal practices and making untrue claims regarding Ezy Wealth Builder's Products, the Money Share Plan, services, and administrative officers. A Member agrees to not make public projections and claims regarding the income potential of any Member, including themselves and a Member understands that the success of other Member's may differ substantially and is determined by many variables uncontrollable by Ezy Wealth Builder. When promoting Ezy Wealth Builder a member agrees to be respectful of all prospective Members. This includes respectful acceptance of all prospective Member comments and questions as well as their privacy needs.
A Member agrees to be and understands that they are solely responsible for any and all legal and financial obligations that could result from their Ezy Wealth Builder Membership. This includes but is not limited to self-employment taxes, income taxes, sales/use taxes, etc.
A Member understands that the contents of this document will change occasionally at the discretion of Ezy Wealth Builder, and therefore the Member agrees to review it often.
A member understands that if they have questions pertaining to any of the legal documents supporting Ezy Wealth Builder they should contact the Support Team of Ezy Wealth Builder for the most up to date answers to resolve those questions.

Membership Details
A Member of Ezy Wealth Builder is required to understand and abide by the rules, terms, and policies outlined by Ezy Wealth Builder. Ezy Wealth Builder reserves the right to change their rules, terms, policies and web site content at any time as they deem appropriate. Ezy Wealth Builder requires every Member to comply with all federal, state, provincial, and local laws, as well as all statutes and regulations governing Network Marketing and Internet Advertising.

Member Status
An individual may become a Member by agreeing to comply with all Ezy Wealth Builder Policies and Terms and Conditions. An applicant wishing to become a Member must fill out the registration form online and pay the required fees. Ezy Wealth Builder reserves the right to reject any person wanting to become a Member or withdraw the active status of a Member for any reason. Withdrawal of a Member's active status by Ezy Wealth Builder after any fees have been collected may be refundable at Ezy Wealth Builder discretion, and depending on the reason for termination of the Member's account. Any personal information collected on the Ezy Wealth Builder registration form will be retained in accordance with the Ezy Wealth Builder Privacy Policy. A Member is defined as someone who is involved with Ezy Wealth Builder for either one or both of the following two reasons: To use the Products and to build a home business through EZ Pay Plan . The monthly fee for Members include $25.00 for the Products. A new Member must pay the One Time Setup Fee of $25.00 to join. This fee is non-refundable and is NOT a reoccurring monthly fee. It is paid just one time to register a new membership account with Ezy Wealth Builder. A Member has access to the Ezy Wealth Builder Members Only Web Site, their own personal Ezy Wealth Builder turnkey web site for referring others to Ezy Wealth Builder, and the ability to earn commissions from the Money Share Plan.

Member Status Rules
All Members are independent contractors of Ezy Wealth Builder. Membership accounts with Ezy Wealth Builder are not franchises, joint ventures, or partnerships with Ezy Wealth Builder, nor does any Member count as an employee, agent, or administrator for Ezy Wealth Builder. Members are strictly prohibited from stating or implying that they hold or maintain any other type of relationship with Ezy Wealth Builder. Members, both active and inactive have no authority to bind the Ezy Wealth Builder to any obligation. A Member enters the status of Dormant if Ezy Wealth Builder is unable to successfully bill the monthly fees due. Ezy Wealth Builder will attempt to bill fees every end of the month (30 days). A Member can update their billing information at any time by logging into the Members Only Site and visiting Profile Manager in the Administration section. The next bill date following a successful billing will be 30 days from the first declined attempt. If at the end of the month, the Member has not been successfully billed, all unearned and uncollected Moneyline Pool shares will be permanently forfeited by the Member. A canceled member who wants to become active in Ezy Wealth Builder again can go to their personal Ezy Wealth Builder web site and follow the instructions for reactivating their account. A Member who canceles their account manually, or requests cancelation from Support forfeits all prospects, members and commissions mentioned above. If a Member reactivates their account during the Canceled period, their next bill date is 30 days from the day they reactivated their account. However, they must maintain their original sponsor. A Member can become terminated at the Ezy Wealth Builder for violations to the Terms and Conditions or any other Policies. A Member whose status becomes Terminated immediately loses all access and rights to Ezy Wealth Builder, their list of members and prospects in the system and any uncollected commissions or Moneyline Pool shares.

Member and Customer Fee Requirements
All persons enrolled in the Ezy Wealth Builder system as a Prospect can join with full Member status by paying the One Time Set Up Fee of $25.00 which is a non-refundable fee covering all administrative processes involved with establishing a new Member's account, and the Product Fee which is $25.00 per month. The Monthly Fee can be paid for via credit cards or any money processors listed on this page.

These Members will also be qualified to take part in the Ezy Wealth Builder Money Share Plan. All persons may refer new Members to Ezy Wealth Builder, but only those paying the monthly Product Fee of $25.00 will be compensated by the Money Share Plan. All persons can cancel their account with Ezy Wealth Builder at any time by contacting the Support Center. Members may not have more than one active account in Ezy Wealth Builder. Any and all information held by Ezy Wealth Builder in a Member's record can be used at the discretion of Ezy Wealth Builder to determine if a Member has direct ties to more than one account. Ezy Wealth Builder reserves the right to terminate additional accounts held by the same Member and the Member him/herself risks immediate termination for violating the Ezy Wealth Builder Terms and Conditions. Refunds will not be offered on terminated accounts.

Members may be required at any time to provide Ezy Wealth Builder with a valid government-issued tax identification number (or other means of identification as mandated by the Members home domicile tax authority), as well as a current and valid billing and mailing address, phone number and e-mail address. This personal information will be used for purposes pertaining to a Members Ezy Wealth Builder account only and will be kept in a secure location by Ezy Wealth Builder. Failure to provide such requested information and proof that it is current may result in termination of the Members Ezy Wealth Builder Membership. Any penalties or fines that may result from issuing an incorrect tax identification number or other personal information to Ezy Wealth Builder will be the sole responsibility of the Member.

Member Advertising and Account Rules
No Member has exclusive marketing and sponsorship rights over a specific territory. Members found to be implying such rights risk immediate termination from Ezy Wealth Builder. No Member has been given the authority to supply other Members with exclusive marketing material, methods, leads, etc. Members found to be implying such rights, either online or offline, risk immediate termination from Ezy Wealth Builder. No Member has the right to promote and collect funds from the sale of Ezy Wealth Builder Products from any personal web site. The only web sites where the sale of Ezy Wealth Builder can occur are on those provided by Ezy Wealth Builder using Ezy Wealth Builder merchant account to collect funds from the sale. Members found collecting funds for the sale of Ezy Wealth Builder products risk immediate termination.

Member Legal Compliance and Taxation
It is the Members responsibility to stay informed and comply with all international, federal, state and/or provincial statutes, laws and regulations, and all local ordinances and rules concerning all aspects of their Ezy Wealth Builder business. Members are responsible for their own managerial decisions and expenditures, including taxes. Since no Member is a Ezy Wealth Builder employee, with respect to any law, statute or rule for federal or state tax purposes Ezy Wealth Builder is not responsible for payment or co-payment of any employee benefits and/or taxes. Members will not be treated as franchisees, joint venturers, partners, employees or agents with respect to the United States Internal Revenue Code, Social Security Act, any federal, state and/or provincial unemployment act(s), or any federal, state, provincial or local laws, statutes, ordinances, rules or regulations. All Associate Members are considered to be Independent Contractors, with status dictating a non-employee status in all foreign locations.

Promoting Other Products and Opportunities
Members are restricted from selling or promoting other companies products, services and/or business opportunities to all Ezy Wealth Builder Members with the exception of those they personally referred to Ezy Wealth Builder, unless a special arrangement has been made with Ezy Wealth Builder that is considered to be in the best interest of all Members.

Confidential Information
All information found in the Members Only Site is considered proprietary and confidential and for access by Members only. Information pertaining to other Members on the Ezy Wealth Builder team must not be shared with non Ezy Wealth Builder Members or any third party.

Restricted Countries
Due to legal and tax considerations Ezy Wealth Builder may be forced to exclude residents of certain countries from becoming an active Member of Ezy Wealth Builder. Any Member found to be recruiting, targeting advertisements to, training residents of, or doing any other activity related to building their Ezy Wealth Builder business in restricted countries risk immediate termination.

Ezy Wealth Builder Web Site Materials and Content The name Ezy Wealth Builder, all copyrighted material, Intellectual Property, Ezy Wealth Builder logos, and the names of all Company Products and services are the intellectual property of and owned by Ezy Wealth Builder. Only Ezy Wealth Builder is authorized to produce and market Products, materials and literature under these intellectual property rights. Use of the Ezy Wealth Builder name in any manner not approved or authorized by Ezy Wealth Builder is prohibited.

Ezy Wealth Builder does not condone or tolerate the use of Unsolicited Commercial E-mail (UCE), Unsolicited Bulk E-mail (UBE) or Spam. All e-mails sent out by a Member to promote their Ezy Wealth Builder business must fully comply with Ezy Wealth Builder's strict Spam Policy. Failure to comply will result in immediate termination of the guilty Member's Ezy Wealth Builder account with all pending commissions forfeited and no further access to the Members Only Site.

Membership Renewal
All Members who want to maintain an active status with the ability to use the Ezy Wealth Builder Products, have their own Ezy Wealth Builder sales web site and automated marketing system, and earn commissions from the Ezy Wealth Builder Money Share Plan must be successfully billed the Product Fee by Ezy Wealth Builder on the anniversary day they originally joined Ezy Wealth Builder each month.

A Member must be active to take part in the Ezy Wealth Builder Money Share Plan. A Member is considered active once Ezy Wealth Builder has received payment of the Product and One Time Setup Fees or just payment of the Product Fee for Members who have been in Ezy Wealth Builder for more than 30 days. It is required that a Member must pay the monthly Product Fee to maintain eligibility to take part in the Ezy Wealth Builder Money Share Plan.

Members who have earned commissions from the sale of Ezy Wealth Builder Products have their commissions credited to their Commissions Balance in the Members Only Site immediately after every successful sale that applies to them. Once per month a Member can click a button instructing Ezy Wealth Builder to transfer their Available Commissions Balance to them as long as the member has a minimum Available Commissions Balance of $10. Ezy Wealth Builder only pays commissions using the methods outlined in the members only site.

Amendments and Modifications
Ezy Wealth Builder reserves the right to amend any Ezy Wealth Builder governing documents, Policies, Procedures, Terms and Conditions, the Ezy Wealth Builder Money Share Plan, company web sites, etc. at any time, as the Company in its sole discretion deems appropriate. Changes are considered effective and binding on all Members as of the date of them being presented live on the Ezy Wealth Builder web site. Member who continue to participate in any Ezy Wealth Builder program, after such amended policies have been published and/or after being notified by Ezy Wealth Builder or otherwise becoming aware of such amendments, shall be deemed to have accepted and agreed to any such amended policies, terms and requirements.

Indemnity Agreement
In consideration for receiving Ezy Wealth Builder Products and/or for participating in any Ezy Wealth Builder programs, each Member agrees to indemnify and hold harmless Ezy Wealth Builder, its shareholders, general/limited partners, successors, employees, agents, attorneys, officers and directors in any corporate or other business capacity from and against any and all demands, liabilities, losses, costs, penalties, obligations, interest, damages and expenses of whatever nature or kind, including without limitation attorneys fees (including both outside and in-house counsel), and all other expenses, related to or arising from participation in any Ezy Wealth Builder program. This indemnity specifically extends to include without limitation any actions, results, causes of action or allegations in connection with (i) any Associate Members Ezy Wealth Builder business and its affiliates activities as a Ezy Wealth Builder Associate Member; (ii) any breach of any terms, policies and conditions agreed to by the Associate Member and/or contained in any Ezy Wealth Builder Policies and Procedures, or; (iii) violation of any federal, state, provincial and/or local law, statue, ordinance, rule or regulation.

Entire Agreement
All Ezy Wealth Builder Terms and Conditions and Policies, as well as all other Ezy Wealth Builder governing documents, are hereby incorporated into a Members Membership with Ezy Wealth Builder. These together constitute the entire agreement of Ezy Wealth Builder and any Member regarding their business relationship, and supersedes and cancels all prior and contemporaneous agreements, claims, representations and understandings, oral and/or written, by or of the parties in connection with the subject matter hereof.
All Ezy Wealth Builder Terms and Conditions and Policies, as well as all other Ezy Wealth Builder governing documents, are hereby incorporated into a Members Membership with Ezy Wealth Builder. These together constitute the entire agreement of Ezy Wealth Builder and any Member regarding their business relationship, and supersedes and cancels all prior and contemporaneous agreements, claims, representations and understandings, oral and/or written, by or of the parties in connection with the subject matter hereof.
Severability
If, under any applicable and binding law or rule of any applicable jurisdiction, any provision of these Terms and Conditions and Policies, or any specific standard or operating procedure which Ezy Wealth Builder has prescribed, is held to be invalid or unenforceable, Ezy Wealth Builder shall have the right to modify the invalid or unenforceable provision, specification, standard or operating procedure or any portion thereof to the extent required to be valid and enforceable. The parties shall be bound by any such modification, and the modification will be effective only in the jurisdiction(s) in which it is required. Notwithstanding any such modification, if any provision of the Ezy Wealth Builder Terms and Conditions shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the remainder of the Ezy Wealth Builder Terms and Conditions and Policies, and shall not affect the validity and enforceability of any remaining provisions, nor shall it affect any other standard and operating procedures which Ezy Wealth Builder has prescribed. Ezy Wealth Builder Liability To the extent permitted by law, Ezy Wealth Builder shall not be liable for, and all Members release Ezy Wealth Builder from and waive all claims concerning, any loss of profits, any special or consequential damages, or any other losses incurred or suffered by any Associate Member and/or Subscriber as a result of: (a) the breach by the Associate Member and/or Subscriber of the terms and conditions specified in any Ezy Wealth Builder Terms and Conditions or Policies and/or (b) the failure by an Associate Member to provide any information or data required by Ezy Wealth Builder to operate its business and/or to conform to applicable laws; and/or (c) any incorrect or falsified information provided, intentionally or not, by any Associate Member, or by any agent or authorized representative of any such Member. No Agency or Third-Party Beneficiary Ezy Wealth Builder is not the agent, fiduciary, trustee or other such representative of any Member. Nothing expressed or mentioned in or implied from these Terms and Conditions is intended or shall be construed to give to any person other than the parties hereto any legal or equitable right, remedy or claim under or in respect to this Agreement. This Agreement and all of the representations, warranties, covenants, conditions and provisions of these Ezy Wealth Builder Terms and Conditions are intended to be and are for the sole and exclusive benefit of Ezy Wealth Builder and the agreeing Member. Jurisdiction and Applicable Laws The exclusive jurisdiction for any claim, controversy, lawsuit or resolution of any matter relating to or arising under any Ezy Wealth Builder Terms and Conditions or Policies shall be the province of British Columbia, Canada. The laws of British Columbia govern this Agreement and all of its terms and conditions, without regard to any conflict of laws principles.

Except as noted herein, any dispute, controversy and/or claim arising out of or relating to Ezy Wealth Builder, the Ezy Wealth Builder business opportunity, Ezy Wealth Builder Products , and/or any rights and obligations of a Member, or any other claims or causes of action relating to the performance under these Agreements by either Ezy Wealth Builder or any Member and/or a Members purchase of Ezy Wealth Builder Products shall be submitted exclusively before binding arbitration, with hearings to be held in British Columbia, Canada, or such other location as Ezy Wealth Builder may designate in its sole discretion. Each party to the arbitration shall be responsible for its own costs and expenses of arbitration, including legal and filing fees. The decision of the arbitrator shall be final and binding on the parties and may be reduced to judgment in any court of competent jurisdiction. This agreement to arbitration shall survive any termination or expiration of the Member Agreement. Notwithstanding the foregoing, the arbitrator shall have no jurisdiction over disputes relating to the ownership, validity or registration or any mark or other intellectual property, or any confidential or proprietary information belonging to or held by Ezy Wealth Builder, without Ezy Wealth Builder's prior written consent. Ezy Wealth Builder may seek any applicable remedy in any appropriate forum with respect to disputes and any money owed to Ezy Wealth Builder. In addition to monetary damages, Ezy Wealth Builder may obtain injunctive relief in any appropriate jurisdiction against any individual for any violation(s) of Ezy Wealth Builder Terms and Conditions and violation or misuse of them and all governing documents of Ezy Wealth Builder.
